1. Who we are and what these Terms cover
1.1 This website (the "Website") is operated by DPW Pte. Ltd. (UEN 202017982R), a company incorporated in Singapore with its registered office at 247B Victoria St, Singapore 188033. DPW operates the CSFile technology platform (the "Platform"); "CSFile" is the platform brand, and "UpVue" is the display name under which the current Participating Firm's Professional Services are offered.
1.2 These Website Terms of Use ("Terms") govern your browsing of the public pages of the Website and your use of any free tools made available on it without an account. They do not govern:
(a) registered Platform accounts or the client portal, which are governed by the Platform Terms of Service (see Doc 02 — Platform Terms of Service); or
(b) any professional corporate, secretarial, accounting, tax or filing services, which are provided only by a Participating Firm under the Singapore Terms of Business (see Doc 03 — Singapore Terms of Business).
1.3 If there is any conflict, the Engagement / Terms of Business prevails over the Platform Terms of Service, which prevail over these Terms, in each case for their own subject matter.
2. These Terms bind you
2.1 By accessing or using the Website you agree to these Terms. If you do not agree, do not use the Website. If you use the Website on behalf of a company or other organisation, you confirm you are authorised to do so, and "you" includes that organisation.
3. The Website is informational only
3.1 The Website describes services and pricing for information purposes. Nothing on the Website is an offer capable of acceptance, an engagement of any professional, legal advice, or the formation of any client relationship. A contract for services arises only when a Service Order is concluded under Doc 02 and, for Professional Services, an Engagement is formed with a Participating Firm under Doc 03.
3.2 DPW is a technology company. DPW does not itself provide corporate secretarial, filing-agent, nominee, accounting, tax or legal services, and nothing on the Website should be read as DPW providing them.
4. Free tools are indicative only
4.1 Any free tools on the Website (for example calculators, name or eligibility checkers, and guides) produce indicative, general output only, based on the information you enter and on general assumptions. Their output:
(a) is not verified against government records unless expressly stated;
(b) is not advice, a quotation, a compliance determination or a guarantee of any outcome (including any ACRA, IRAS or other government decision or processing time); and
(c) should not be relied on without independent verification and, where appropriate, advice from a qualified professional.
5. No professional advice
5.1 Nothing on the Website is legal, tax, accounting, corporate secretarial or other professional advice. Content is general information about Singapore requirements as at the date written and may be out of date. You should obtain advice from a qualified professional before acting on anything on the Website.
6. Accuracy and availability
6.1 We take reasonable care in preparing Website content but do not warrant that it is accurate, complete or current, or that the Website will be available, uninterrupted, secure or free of errors or harmful components. We may change, suspend or withdraw any part of the Website or any free tool at any time without notice.
7. Intellectual property
7.1 The Website and its content — including text, graphics, logos, brand names (including "CSFile"), page designs, tools and underlying software — are owned by DPW or its licensors and are protected by intellectual property laws. You may view and print pages for your own internal, non-commercial reference. You must not otherwise reproduce, distribute, modify, create derivative works from, or commercially exploit any part of the Website without our prior written consent.
8. Links to third-party sites
8.1 The Website may link to third-party websites (including government websites). We do not control and are not responsible for their content, availability or practices. A link is not an endorsement. Your use of a third-party site is at your own risk and subject to its terms.
9. Acceptable use
9.1 You must use the Website lawfully and must not misuse it, including by scraping, probing, interfering with or attempting unauthorised access to it. The prohibited conduct set out in Doc 08 — Acceptable Use Policy (the "AUP") applies to your use of the Website, and the AUP is incorporated into these Terms.
10. Liability
10.1 To the maximum extent permitted by law (including the Unfair Contract Terms Act 1977), and subject to clause 10.2, we exclude all liability arising out of or in connection with your use of, or inability to use, the Website or any free tool, including liability for reliance on any content or tool output, and including any indirect or consequential loss, loss of profit, revenue, business, goodwill or data.
10.2 Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under Singapore law, and nothing in these Terms limits any rights you have under the Consumer Protection (Fair Trading) Act 2003 that cannot lawfully be limited.
11. Privacy and cookies
11.1 Personal data collected through the Website is handled as described in the Privacy Notice (see Doc 04 — Privacy Notice). Cookies and similar technologies are described in the Cookie Notice (see Doc 07 — Cookie Notice).
12. Changes to these Terms
12.1 We may update these Terms from time to time by posting the updated version on the Website with an updated date. Changes apply from posting and do not apply retrospectively. Your continued use of the Website after a change constitutes acceptance of the updated Terms.
13. Governing law and jurisdiction
13.1 These Terms, and any dispute or claim arising out of or in connection with them or the Website, are governed by Singapore law. The courts of Singapore have non-exclusive jurisdiction.
